Who is HT Systems?
HT Systems is an engineering technology company that develops solutions to assist people with disabilities. The company was established in January 2018 to develop Keith Alexander’s (Springfree trampoline founder) initial patient transfer concept into a marketable product.

Our founder, Keith, is a serial NZ inventor who invented the Springfree Trampoline which has gone on to be a global commercial success. Keith’s experience in commercialising the trampoline and his desire to make the world a safer place has led us to where we are today. Keith founded HT Systems in 2018 with the vision of creating a product that would change the lives of caregivers and those they care for. |
Alex’s sister spends her life in a wheelchair. When she was young, her favourite method of transferring to and from her wheelchair was on the back of one of her older brothers, so he knows precisely what is required of a transfer aid. Alex has been in charge of the continuing development and refinement of the Kera, a product which is taking on and challenging the healthcare establishment. |
Richard is an ex-banker looking to redeem his soul. Richard wanted to be involved in a business that lives its values and was centred on listening to the customer. As a consequence, the HT Systems team has worked closely with health professionals, people with disabilities and their families to develop a strong understanding of their needs and what just doesn’t work for them. |
The Problem we are solving
Living with a disability can be hugely challenging, both for that person and for their caregivers. For many, one of the biggest challenges is in maintaining mobility and quality of life for someone who is unable to move for themselves.
The daily reality for many is one of feeling like a burden and fearing for the future, wondering how much longer their loved ones can continue to care for them at home, or worrying about their dignity and safety while living in a care facility. The challenges in maintaining mobility and quality of life for someone who is unable to move for themselves can rob the elderly and people living with disabilities of essential life experiences, self-respect and cherished time with their loved ones.
With 4 caregiver injuries occurring every day in New Zealand, those who shoulder the responsibility of transferring mobility-compromised people are also bearing a physical toll. Caregivers, both at home and in facilities, are sacrificing valuable time and energy to transfers which could be better spent actually caring for people living with disabilities and helping them to maintain full lives.
With over 100,000 New Zealanders (and millions more, globally) who can’t move for themselves, we have identified a significant opportunity to support people with disabilities and their caregivers by reducing the time and the number of caregivers required to move a person. The result is greater safety for caregivers, and a better quality of life for people living with disabilities and those that care for them.
Our Solution: The Kera sit2sit

ove between locations quickly, safely and easily with a one-to-one transfer solution that preserves the dignity, respect and quality of life of people living with disabilities and those who care for them.
The Kera is already changing lives in Aotearoa New Zealand by enabling Kiwis with disabilities to live fuller lives, and supporting caregivers to more easily look after those who can’t move for themselves. This innovative technology is supporting Kiwis living with spinal cord injury, neurological diseases (Multiple Sclerosis, Motor Neuron Disease, Muscular Dystrophy), limited mobility due to aging, amputations, Spina Bifida and Cerebral Palsy.
Our Journey so far
This journey began with a request from the chief surgeon at Christchurch’s Burwood Hospital. He recognised the prevalence of work-related injuries among nursing staff who were getting injured lifting mobility-compromised patients and he approached the University of Canterbury Engineering Department for solutions.
With his feedback, Keith worked with students on a series of prototypes to efficiently move people between seats. We learned that rolling a eated patient forward at their centre of mass could transfer them from one seated position to another without any need to physically lift them.
From there, HT Systems was established and our team began engaging in more detailed conversations with people living with disabilities. Its now been over the 3.5 years and the team at HT Systems has developed the innovative Kera transfer aid which has transformed the lives of hundreds of Kiwis.
The HT Systems strategy to date has been to grow organically within NZ and learn from our customers being close. The time is now right to take the learnings gained from this phase of our journey and grow the business in larger markets.

We are now ready to grow the business and are raising up to $750,000 to support the release of two new products and a launch of the Kera into the Australian market in 2022.
Grow in bigger markets
Given the limited size and nature of the NZ market, we plan to expand to larger and more accessible overseas markets. The initial focus will be on Australia and then to other markets (UK, Europe, US and Asia).
Develop new products
We have proven ourselves with the Kera, which has successfully sold in the NZ market for over 2 years and has made a huge difference in hundreds of Kiwi’s lives.
Over the last few years, HT Systems has developed a strong understanding of how to transfer people with disabilities and fostered deep connections with the NZ market. All the things we’ve learned along the way can be applied to other new products.
We are already developing new products and, with new engineering resources, we plan to release them to market next year.
Grow our capability
To support our next phase of growth, we plan to hire up to 4 new roles to increase the capability and capacity of the team. With these new team members, we can accelerate our growth opportunities.
What are the risks?
Access to capital
HT Systems may require additional capital for its growth activities. That capital may not be available (in which case the growth plans and future of the company will be at risk) or may only be available at a lower price than the current investment round (resulting in a reduction in the value of your investment).
Strong competition from new or existing players
There is significant risk, as with any business, that a strong competitor through its activities can have a negative impact on HT Systems revenue generating ability and/or HT Systems growth.
Intellectual Property
HT Systems creates original intellectual property. There is a risk that IP protection cannot be secured or that the company may be exposed to unanticipated claims by other parties, or the IP in place is infringed by another party.
These scenarios can incur unexpected costs or impact sales of certain products or services being offered by HT Systems.
Revenue and profitability challenges
The forecasts presented in the IM are based on our best assumptions of the business going forward. As with all forecasts they are susceptible to uncertainty and changes in circumstances or external factors.
Regulatory challenges
The assistive technology that HT Systems develops are typically categorised as “Medical Devices” and access is regulated in most countries.
Key person risk
The HT Systems business has a small number of employees each with their own complimentary skill sets. Should any of the management team be incapacitated for a significant length of time then the business outcomes would be effected.
COVID-19
The HT systems growth plan requires strong connections with international markets and sales to individuals with a high likelihood of being immuno-compromised. Restrictions due to a global pandemic such as Covid-19 can reduce revenues.

Australian regulation update - Kera passes international standards testing

Hi All
As our crowdfunding campaign comes to an end on Friday we wanted to update you about our Australian regulation.
In October we sent the Kera to Novita testing laboratory in South Australia. Novita is a NATA accredited test lab for testing of assistive equipment to Australian and International standards. Novita lab testing to international standards is also recognised in many other markets around the world.
Kera lab test success
We had already tested the Kera internally at the University of Canterbury and so we were confident of a successful outcome. We a pleased to say that this confidence was well placed and the Kera passed all its testing under the International Hoist standard ISO10535. We are just waiting on the final testing of accessories and then will be able to share the final report.
The passing of this lab testing is a big step towards being able to register the Kera as a medical device with the TGA in Australia. It also enables us to start discussions with Australian distributors in the new year and keeps us on track to deliver one of our major objectives and stronger revenues in 2022.

We wanted to let you know that our crowdfunding camapign achieved a major milestone yesterday breaking through $200,000.
Thank you to our generous pledgers for agreeing to join us as owners of a company with a mission to help people who are living with constraints.
We now have $40,000 to go before our campaign reaches the minimum which will enable us to go ahead with our plans of launching into Australia and releasing new products. Although, we've still got a long way to go to meet our maximum goal of $750,000 which will allow the company to build capacity and capability to grow faster.

What is stopping the chinese making it, changing it slightly and someone "parelllel inporting " it to the states and undercutting you. Y' need a Chinnese patent. I know nothing about patents. Are the shares "for the new products" y' have comming on to ?.

Yes, absolutely you will be investing in shares in HT Systems to enable us to launch into Australia and launch our new products. We are excited about our new products as they are doing well with our clients in testing and we have a head start with our experience from bringing the Kera to market.
It is a good question that you ask about protecting our ideas from copying. We have Keith's years of experience with Springfree to draw on, where they have successfully fended off cheaper imitators and are still the only "springfree" trampoline. Our strategy is based on a mix of patents (in your example you can't parallel import into the States if it infringes our patent), a strong and quality focused brand and a fast rollout to the large markets like the US and Europe.

The Board doesn't have a predetermined view on exit. The current and medium term focus for the business is to grow sustainably through international sales and product development.
When we successfully deliver on this strategy the business the following options for exit may become available:
1. Continued trade as a private company and possible licencing in overseas markets
2. Trade sale to a large multi national organisation (there are a number of billion dollar companies in the health sector who have all been acquisitive in the past)
3. IPO listing on a stock exchange

If something unforseen happens how do one sell their shares

Share in companies like HT systems can be harder to sell because there is no stock exchange marketplace. Saying that we will do our best to facilitate share sales for our shareholders.
If you had to sell your shares then you would register your interest with us. We would then notify other shareholders and they may choose to make you an offer for those shares.

Australian regulation update - Kera passes international standards testing

Hi All
As our crowdfunding campaign comes to an end on Friday we wanted to update you about our Australian regulation.
In October we sent the Kera to Novita testing laboratory in South Australia. Novita is a NATA accredited test lab for testing of assistive equipment to Australian and International standards. Novita lab testing to international standards is also recognised in many other markets around the world.
Kera lab test success
We had already tested the Kera internally at the University of Canterbury and so we were confident of a successful outcome. We a pleased to say that this confidence was well placed and the Kera passed all its testing under the International Hoist standard ISO10535. We are just waiting on the final testing of accessories and then will be able to share the final report.
The passing of this lab testing is a big step towards being able to register the Kera as a medical device with the TGA in Australia. It also enables us to start discussions with Australian distributors in the new year and keeps us on track to deliver one of our major objectives and stronger revenues in 2022.

We wanted to let you know that our crowdfunding camapign achieved a major milestone yesterday breaking through $200,000.
Thank you to our generous pledgers for agreeing to join us as owners of a company with a mission to help people who are living with constraints.
We now have $40,000 to go before our campaign reaches the minimum which will enable us to go ahead with our plans of launching into Australia and releasing new products. What is stopping the chinese making it, changing it slightly and someone "parelllel inporting " it to the states and undercutting you. Y' need a Chinnese patent. I know nothing about patents. Are the shares "for the new products" y' have comming on to ?.

Yes, absolutely you will be investing in shares in HT Systems to enable us to launch into Australia and launch our new products. We are excited about our new products as they are doing well with our clients in testing and we have a head start with our experience from bringing the Kera to market.
It is a good question that you ask about protecting our ideas from copying. We have Keith's years of experience with Springfree to draw on, where they have successfully fended off cheaper imitators and are still the only "springfree" trampoline. Our strategy is based on a mix of patents (in your example you can't parallel import into the States if it infringes our patent), a strong and quality focused brand and a fast rollout to the large markets like the US and Europe.

Thanks for your interest.
The Board doesn't have a predetermined view on exit. The current and medium term focus for the business is to grow sustainably through international sales and product development.
When we successfully deliver on this strategy the business the following options for exit may become available:
1. Continued trade as a private company and possible licencing in overseas markets
2. Trade sale to a large multi national organisation (there are a number of billion dollar companies in the health sector who have all been acquisitive in the past)
3. IPO listing on a stock exchange

Share in companies like HT systems can be harder to sell because there is no stock exchange marketplace. Saying that we will do our best to facilitate share sales for our shareholders.
If you had to sell your shares then you would register your interest with us. We would then notify other shareholders and they may choose to make you an offer for those shares.
