OVERVIEW

At Iaso Global we are pursuing entry into the Medicinal Cannabis industry. Our intention is to attain import/export rights in New Zealand to disperse locally and globally, our top-quality dried flower product that we intend on cultivating. Moving forward, Iaso Global aims to embark on the manufacturing area of the industry and work with other companies to achieve this.

We have secured on a due-diligence agreement a 3.15ha land package with 10,500sqm of established automated glasshouses, ready for growing our crop. We need funding to complete the purchase of this land and upgrade the security so that we can attain our license to cultivate Medicinal Cannabis.

Our goal is to combine industry-specific experience, to provide a premium cultivation facility and create an enviable economic and trading environment. Research and development are key to the consistent development of our product. It is only with attention to detail and a passion to develop medicinal strains, that we believe we can truly have a positive impact on the industry. Iaso Global aims to help people living with an illness that can be treated with Medicinal Cannabis-based products. A long-term best practice model offering continuity of supply and consistent quality is paramount.

Innovation and technology will contribute to the success of Iaso Global as we strive to become a leader in the industry. We aim to supply patients with the highest quality Medicinal Cannabis products, at an affordable price. We are now turning to our crowd to raise investment. We can then build on the infrastructure we aim to purchase to begin our cultivation operation. If we meet our goal our investors will own a percentage of Iaso Global. SHARE OFFER

Iaso Global is offering up to 4,000,000 shares at $1 each through a Retail and Wholesale round. If fully subscribed, this will equate to 13.3% of the shares in Iaso Global.

There are two types of shares on offer:

Category 1 - Investor Shares Category 1 Investors shares shall have the same rights attached to them as the existing shareholders in the company including the right to vote at shareholder meetings. Wholesale or Retail investors of 50,000 shares and over.

Category 2 - Ordinary Shares Category 2 Ordinary Shares carry non-voting rights at a shareholders meeting. The maximum any one investor can invest via the crowdfunding campaign is $200,000.00 (equivalent to 10% of the maximum capital raising) Wholesale or Retail investors under 50,000 shares.

Wholesale investors must submit a completed certificate confirming the applicants status as a wholesale investor as defined in clause 3 of schedule 1 of the Financial Markets Conduct Act 2013. A copy is available on request. Category 1 shares will be capped at no more than 40 shareholders.

RISKS

While all new industries present challenges, Iaso Global is confident we have the right people and the right systems in place to overcome these uncertainties and successfully move into production.

The Board of Directors has made a commitment to developing and regularly reviewing Iaso Global’s strategy with external facilitators. This is to ensure the best possible governance, management and decision making for the company. Drawing on the specialist expertise, skills and proven corporate governance of the Board, we believe Iaso Global will be in a good position to succeed.

As part of our planning, we have identified potential risks to our business and putting in place measures to avoid these risks from happening.

Iaso Global’s valuation is based on international market research from Canada, Australia and the USA.

A common method to value a company for crowdfunding in New Zealand, is to use a revenue multiplier of 4-5 times. By applying a conservative multiplier of 2.3 of 2021-2022 financial year projected revenue, results in a valuation of NZD $20,780,000.

Please note the property and the Medicinal Cannabis licence is yet to be attained.

The total pre-raise share company valuation is NZD $20,780,000. If the retail crowdfunding campaign and the wholesale campaign are fully subscribed the company value will increase to NZD $24,780,000.

Do you have a signed binding takeout( purchase agreement)
that is legally binding provided the conditions of the contract is meet?

Hi Max,

It is not legally binding as we do not have the product yet or the licenses to cultivate. Essentially it is not a legal contract at present until we have become licensed and can start our cultivation. All other medicinal companies that have launched have had to go through this process to start with a letter of intent. Thank you for your question :-)
